With reference to your advertisement in today's 'The Tribune', for offering Sole Agency for Bombay, we have pleasure in informing you that we shall be willing to work as your sole agents for Gujarat and Maharashtra States, on the following terms and conditions:
1. Sole Agency-All sales in the States of Gujarat and Maharashtra will be made through us only. Any order received by you will be passed on to us for execution.
2. Discount-You will offer us a minimum discount of 10% while we in turn will maintain 25% as fixed by you.
3. F.O.R.-All goods will be accepted F.O.R Bombay. 4. Unsold Goods-All unsold goods will be exchangeable/returnable. The cost of freight for returning the goods will be paid by us.
4. Payment-All payments will be made by cheques drawn on a local bank of Bombay for which the bank charges will be payable by you only. Further the payments will be made within 60 days of the date of the bill.
5. Disputes-All disputes will be settled in Bombay Courts.
6. Termination of Agency-Either party has the right to terminate agency by giving three months' notice.
Incidentally we may add here that we are being offered the same terms and conditions by other suppliers also.
It hardly needs mention here that ours is one of the best organized business in Bombay and we are giving very good sales to all other suppliers.
